WaBot Vendor Terms and Conditions Last updated: July 16, 2025 1. Acceptance of Terms By registering as a Vendor on WaBot, you (“Vendor”) agree to these Vendor Terms and Conditions ("Vendor Terms"). If you do not agree, you must not register or use WaBot’s vendor services. 2. Eligibility & Registration You must be a legally registered business or individual with capacity to enter into binding contracts. Provide accurate business details, including legal name, address, and tax identification, and keep them updated. 3. Vendor Account 3.1. Credentials & Security: You are responsible for safeguarding your vendor account credentials. 3.2. Verification: We may verify your business credentials before approving your vendor account. 3.3. Suspension & Termination: We may suspend or terminate your vendor account for breach of these Vendor Terms or any fraudulent or harmful activity. 4. Services & Obligations 4.1. Service Listing: You must accurately describe your products or services, including pricing, availability, and delivery terms. 4.2. Performance Standards: Vendors must fulfill orders and inquiries promptly, maintain quality standards, and comply with applicable laws and best practices. 4.3. Customer Service: Provide timely support to users regarding orders, returns, and complaints. 5. Fees, Payments & Refunds 5.1. Platform Fees: WaBot charges a commission or fee on each transaction as outlined on the Pricing Page. 5.2. Payment Terms: Payments owed to Vendors will be issued on a regular schedule (e.g., monthly) subject to clearing periods and compliance with these Vendor Terms. 5.3. Refund Policy: Vendors must honor user refund requests in accordance with our Refund Policy and applicable consumer protection laws. 6. Data Handling & Privacy 6.1. Data Use: Vendor data and user transaction information may be used by Enbiit to the extent needed to provide and improve the Service. 6.2. Compliance: Vendors must follow the Privacy Policy: https://wabot.enbiit.com/terms-and-policies/privacy_policy, especially regarding user personal data. 7. Intellectual Property 7.1. License Grant: By uploading logos, images, or content, Vendors grant Enbiit a license to use those materials in connection with the Service. 7.2. Ownership: Vendors retain ownership of their own trademarks and branded materials. 8. Warranties & Disclaimers 8.1. Vendor Warranties: You represent and warrant that you have the right to sell the products or services you list and that they comply with all applicable laws. 8.2. Disclaimer: Enbiit disclaims all warranties related to Vendor products or services. Vendors are solely responsible for defects or issues. 9. Limitation of Liability To the maximum extent permitted by law, Enbiit is not liable for any damages arising from Vendor products, services, or breach of these Vendor Terms. 10. Indemnification Vendors agree to indemnify and hold Enbiit, its affiliates, officers, and employees harmless from any claims or damages arising out of Vendor’s negligence, willful misconduct, or breach of these Vendor Terms. 11. Changes to Vendor Terms We may update these Vendor Terms at any time by posting the revised version at https://wabot.enbiit.com/terms-and-policies/vendor_terms and updating the "Last updated" date. Continued use constitutes acceptance. 12. Governing Law & Dispute Resolution These Vendor Terms are governed by the laws of India. Disputes shall be resolved in the competent courts of New Delhi. 13. If you do not agree, you must not register or use WaBot’s services. 2. Eligibility You must be at least 13 years old and capable of forming binding contracts in your jurisdiction. You must provide accurate and complete registration information and keep it updated. 3. User Accounts 3.1. Registration & Credentials: You are responsible for maintaining the confidentiality of: Your account login credentials (email & password). Any actions taken from your account. 3.2. Account Security: Notify us immediately of any unauthorized use of your account. 3.3. Termination: We may suspend or terminate your account if you violate these User Terms or for any conduct we deem harmful. 4. Prohibited Conduct You agree not to: Use WaBot for any unlawful or unauthorized purpose. Upload or transmit viruses, malware, or harmful code. Impersonate another person or misrepresent your affiliation. Interfere with the security or integrity of WaBot’s systems. Harass, abuse, or harm others or their content. 5. User Content & License 5.1. Ownership: You retain ownership of all content you upload or submit (“User Content”). 5.2. License Grant: By uploading User Content, you grant Enbiit a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display the content solely to provide the service. 5.3. Responsibility: You warrant that you have all rights necessary to grant this license and that User Content does not infringe third-party rights. 6. Fees & Payments Basic WaBot user functionality is free. Premium features may incur fees, which will be communicated at point of purchase and detailed on our Pricing Page. All fees are non-refundable except as required by law. 7. Privacy Your use of WaBot is also governed by our Privacy Policy: https://wabot.enbiit.com/terms-and-policies/privacy_policy. 8. Disclaimers & Limitation of Liability 8.1. No Warranty: WaBot is provided "as is", without warranty of any kind. 8.2. Limitation: To the fullest extent permitted by law, Enbiit is not liable for any indirect, incidental, or consequential damages arising from your use of WaBot. 9. Indemnification You agree to indemnify and hold Enbiit, its affiliates, officers, and employees harmless from any claim or demand arising out of your violation of these User Terms or your User Content. 10.
